Public Offer

1. General​

This document is a public offer of AdaptGroup LLC, a Wyoming limited liability company (hereinafter — the "Company"). The Company operates the AdaptGroup platform (hereinafter — the "Platform") and defines the terms of providing access to the Platform and its services.

By accepting this offer, you (hereinafter — the "Partner") enter into an agreement with the Company on the terms set out in this document.

Acceptance of the offer is considered to be registration on the platform with confirmation of agreement to these terms. From the moment of acceptance, the agreement is deemed concluded.

The Company reserves the right to withdraw or amend this offer at any time. The current version is published in the Platform documentation.

2. Subject of the Agreement​

The Company provides the Partner with access to the dashboard and the Platform's basic functionality, including:

• creating and managing an organization;
• inviting organization members;
• managing the organization balance;
• connecting Platform modules and services.

Individual modules and services, including VPN bots, support bots, payment and cloud services, and the Adapt Mail email service, are connected under the additional terms of the relevant service.

The Partner accepts the additional terms when connecting the service or placing an order through the designated interface or API method.

Adapt Mail allows domains to be connected, mailboxes to be created and maintained, user access to be managed, and email features to be integrated into the Partner's applications within the available capabilities.

Personal data processing is governed by the Privacy Policy and, for data processed on a customer's behalf, the DPA. Acceptable use is governed by the AUP and the relevant service terms.

3. Service Pricing​

Registration on the Platform and connection of modules are free unless the terms of a particular service expressly state otherwise. Resources, subscriptions, and individual operations within modules may incur charges.

The price, paid period, and order parameters are displayed in the interface or provided through the API before a paid operation is confirmed.

Payments are deducted from the relevant organization or integration balance in accordance with the terms of the service used.

Refunds for cloud services, including Adapt Mail, are governed by the separate Cloud Services Refund Policy. General provisions on organization balance withdrawals do not grant a right to withdraw funds from a separate cloud integration balance. Payouts of available partner income are governed by the relevant module terms.

In Adapt Mail, creating an account to group mailboxes is not itself a paid subscription. Individual mailboxes and their selected storage capacity are charged. One connected domain may contain multiple separately paid mailboxes.

If the Partner provides services to its customers, the end user's price and payment arrangements are determined by the relationship between the Partner and that user. This does not change the Partner's payment obligations to the Company for ordered resources.

4. Rights and Obligations of the Parties​

4.1 The Company Undertakes To​

• Provide access to the dashboard and declared platform functionality.
• Store Partner data in compliance with information security requirements.
• Notify the Partner of changes to the terms of service through the dashboard.

4.2 The Partner Undertakes To​

• Use the platform in accordance with these terms and the terms of connected modules.
• Not transfer account access to third parties.
• Bear full responsibility for the activities conducted using platform tools.
• Before discontinuing use of modules, ensure full fulfillment of obligations to end users — active subscriptions and paid services must be fulfilled in full.

When providing Adapt Mail to end users, the Partner must inform them of the applicable service terms, acceptable use rules, storage and sending limits, and the suspension and deletion procedure upon expiry of the paid period.

The Partner ensures a lawful basis for creating accounts and mailboxes, processing user data, and granting access to it.

The Partner is responsible for the security of its integration, safeguarding API keys, and correct access controls in its application. Upon discovering a compromise, it must stop using the affected credentials and take measures to remove the threat.

Providing an employee or end user with the service's designated credentials for that person's individual mailbox is permitted. It is not considered sharing access to the Partner's administrative account.

Connecting a custom interface or using the API does not waive the restrictions or rules of the relevant service.

5. Term of the Agreement​

The agreement is concluded for an indefinite period from the moment of offer acceptance.

The Partner may discontinue use of the platform at any time. Before deleting the account, the Partner must:

• withdraw the remaining organization balance
• ensure full fulfillment of all obligations to end users within connected modules

The Company may restrict or block access to an account for violation of these terms or module terms of service. Upon blocking, the organization balance funds are preserved — the refund procedure is resolved through support.

6. Restrictions​

The platform is intended for persons who have reached the age of 16 years. By using the platform, you confirm that you meet this requirement.

7. Liability​

The Company is not liable for:

• losses arising from the Partner's violation of these terms or module terms
• actions of end users of the Partner's products
• temporary service unavailability due to reasons beyond the Company's control

The Partner bears full responsibility for the legality of their activities and the activities conducted using platform tools.

8. Changes to Terms​

The Company may unilaterally amend this offer. Partners are notified of changes through the dashboard. Continued use of the Platform after changes take effect constitutes acceptance of the updated terms.
